Important: our content is information, not advice

This is the most important thing to understand about the Site.

• The Content is provided for general information and educational purposes only. It is not professional advice and must not be relied on as such.
• Nothing on the Site constitutes legal, financial, tax, accounting, investment, regulatory, employment or other professional advice, and no client, advisory or fiduciary relationship is created between you and us by your use of the Site.
• Business situations differ. Before acting on anything you read, watch or calculate here, you should obtain specific professional advice from a suitably qualified adviser (for example a solicitor, accountant or regulated financial adviser) about your own circumstances.
• Our calculators and tools produce illustrative estimates based on the information you enter and general assumptions. They are not a substitute for professional advice and may not reflect your actual position.
• Any decision you make, or action you take or do not take, based on the Content is your own responsibility and at your own risk.

We base our Content on sources we consider reliable, including primary UK sources such as GOV.UK, HMRC, Companies House, ACAS and the ICO. However, laws, rates, thresholds and best practice change, and we cannot guarantee that all Content is current, complete or applicable to you.

No warranty as to accuracy or availability

We work hard to make the Content accurate and useful, but we provide the Site and Content "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law. In particular, we do not warrant that:

• the Content is accurate, complete, current or free from error;
• the Site will be available uninterrupted, secure or free from bugs or viruses; or
• the Content is suitable or sufficient for any particular purpose.

We may change, suspend, withdraw or restrict all or part of the Site at any time without notice.

Intellectual property

• All Content on the Site, including text, graphics, schematic diagrams, layout, design, logos, the "Five Minute Business" name and brand, is owned by us or our licensors and is protected by copyright, trade mark and other intellectual property laws.
• You may view, and print or download a single copy of, Content for your own personal, non-commercial use, provided you do not remove any copyright or proprietary notices.
• You must not, without our prior written permission: copy, reproduce, republish, distribute, sell, licence or commercially exploit any Content; use it to train, fine-tune or build any machine-learning or AI model or dataset; or systematically extract, scrape or harvest Content (whether by automated means or otherwise).
• Our trade marks, name and logos may not be used without our prior written consent.

If you wish to share our Content, please link to the relevant page rather than reproducing it.

Acceptable use

You agree not to use the Site:

• in any way that breaches any applicable law or regulation;
• to transmit or introduce any virus, malware or other harmful or disruptive code;
• to gain or attempt to gain unauthorised access to the Site, its servers or any connected systems;
• to place an unreasonable load on our infrastructure, or to scrape, crawl or harvest data except as expressly permitted; or
• in any way that is fraudulent, or that harms or attempts to harm any person.

We may suspend or terminate your access to the Site if you breach these Terms.

The newsletter and tools

When you subscribe to our newsletter or use a tool that asks for your email, you agree to our Privacy Policy, which explains how we handle your information. You can unsubscribe from the newsletter at any time using the link in any email. Calculator and tool outputs are illustrative estimates only (see section 2).

Third-party links and content

The Site may contain links to third-party websites, sources and services that we do not control. We provide these for convenience and reference only. We are not responsible for, and do not endorse, the content, products or practices of any third-party site. If we ever include affiliate links or sponsored content, we will disclose this clearly in line with UK advertising rules (the ASA/CAP Codes).

Limitation of liability

Nothing in these Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be limited or excluded under English law (including your rights under the Consumer Rights Act 2015 where you use the Site as a consumer).

Subject to that, and to the fullest extent permitted by law:

• we are not liable for any loss or damage arising from your use of, or reliance on, the Site or the Content, including any business decision you make based on it;
• we are not liable for any indirect or consequential loss, or for any loss of profits, revenue, business, goodwill, data, savings or opportunity, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise; and
• because the Site is provided free of charge, where we are found liable to you despite the above, our total liability to you for all claims connected with the Site is limited to £100.

You are responsible for ensuring that the Content is suitable for your purposes before relying on it.

Indemnity

If you use the Site in breach of these Terms, you agree to be responsible for any reasonable losses, costs or claims we suffer as a direct result of that breach.

Privacy and cookies

Our use of your personal information is governed by our Privacy Policy, which forms part of these Terms.

We may update these Terms from time to time. The "Last updated" date shows the latest version. Your continued use of the Site after a change means you accept the updated Terms, so please check this page periodically.

Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or your use of the Site, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident elsewhere in the UK, you may also bring proceedings in your home jurisdiction.

General

• If any provision of these Terms is found to be unenforceable, the rest remain in full effect.
• Our failure to enforce any right or provision is not a waiver of it.
• These Terms are between you and us; no other person has any right to enforce them.
